Brief Description of Scope

The scope of work for this engagement includes, but is not limited to the following:

Phase 1: Project Assessment and SPV Structuring

Conduct a financial and economic feasibility review and build a scenario-based financial model to project cash flows and test bankability. Value government and private contributions, recommend equity allocations and an optimal capital/funding mix, identify financial and non-financial risks with mitigations and risk-allocation proposals, and provide inputs for SPV governance and regulatory compliance. Benchmark at least five comparable engagements and extract lessons relevant to the transaction.

Phase 2: Investor Engagement and Transaction Preparation

Develop a procurement and marketing strategy, prepare an Information Memorandum, and run roadshows and investor-DFI outreach to attract bidders. Prepare procurement documents and a bankable financial model for bidder due diligence, support procurement implementation and transparent bid evaluation, and deliver a comprehensive Project Operations Manual.

Phase 3: SPV Formation and Financial Close

Support negotiations with selected private partners, lenders and DFIs; draft, review and finalise shareholder, equity and financing agreements; coordinate financial due diligence and secure funding commitments. Provide final inputs for SPV incorporation, capitalization, shareholder contributions, pre-operational arrangements and contract signing through to financial close.

Phase 4: Assignment Completion Report

Prepare and submit a consolidated final report including all financial analyses, assumptions, valuation assessments, the editable financial model with user guide, investor materials and transaction documents, a summary of the procurement process and outcomes.
